This Privacy Policy is effective as of November 2, 2021

The following policies are in effect for the domains, sub-domains and Web pages owned and operated by Sempris, and/or its subsidiaries and affiliates (collectively, “Sempris”). The Sempris network includes numerous membership marketing Web sites (the “Sites”). By using any of the Sites, you signify that you have read, understand and agree to be bound by this Sempris Privacy Policy (“Sempris Privacy Policy”).

Sempris’ Privacy Policy is designed to help you understand how we collect and use the personal information you decide to share, and help you make informed decisions when using the Site. This Privacy Policy shall govern all information collected from or posted at any of the Sites, and the use of the personal information you decide to share. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of this Privacy Policy at any time without further notice. It is your responsibility to regularly review this Privacy Policy. Sempris cares deeply about online privacy and the privacy of our users. If you have any questions concerning this Privacy Policy, please contact us at privacy@sempris.com.

WHAT PERSONAL INFORMATION DO WE COLLECT?

When you register as a member (“Member”) on one of our Sites, we will collect and store your personal information, including your name, address, e-mail address, telephone number, and any other information from which your identity is discernible. We will also collect and store payment information, including your credit card number. We may also collect and store demographic information such as your ZIP code, age, gender, and interests. Sometimes we collect or may collect a combination of the two types of information. We also gather or may gather certain information about your use of the Site, such as what areas you visit and what services you use. Moreover, there is information about your computer hardware and software that is or may be collected by us. This information can include, without limitation, your IP address, browser type, domain names, access times and referring Web site addresses. This data is used to manage the Site, track usage and improve the Site services. Some of this data is linked to your personal information in order to protect Sempris from fraud.

SHARING AND DISCLOSURE OF INFORMATION WITH THIRD PARTIES

Sempris may share your information with the following entities:

  • Carefully selected third parties for marketing purposes;
  • Third-party vendors who provide services or functions on our behalf, including credit card processing, business analytics, customer service, marketing, distribution of surveys or sweepstakes programs, and fraud prevention;
  • Business partners with whom we may jointly offer products or services;
  • Other companies within the Sempris network.

You always will be given the opportunity to unsubscribe from commercial messages in any such messages we send you. Please note we reserve the right to send you other communications, including service announcements, administrative messages, and surveys relating either to your account on one of our Sites or to your transactions on any of the Sites, without offering you the opportunity to opt out of receiving them.

We also may share your information:

  • In response to subpoenas, court orders, or other legal process; to establish or exercise our legal rights; to defend against legal claims; or as otherwise required by law. In such cases we reserve the right to raise or waive any legal objection or right available to us.
  • When we believe it is appropriate to investigate, prevent, or take action regarding illegal or suspected illegal activities; to protect and defend the rights, property, or safety of Sempris, our customers, or others; and in connection with our Terms of Service and other agreements.
  • In connection with a corporate transaction, such as a divestiture, merger, consolidation, or asset sale, or in the unlikely event of bankruptcy. From time to time, Sempris or a partner may sponsor a promotion, sweepstakes or contest on one or more of the Sites. Members may be asked to provide personal information, including name, e-mail address or home address, or to answer questions in order to participate. We may transfer personal information to certain ad partners that you have requested to receive information from.

We also may share aggregate or anonymous information with third parties, including advertisers and investors. For example, we may tell our advertisers the number of visitors a particular Site receives or what are the most popular discount offers. This information does not contain any personal information and is used to develop content and services we hope you will find of interest.

We also use a third-party service provider, Hotjar, in order to better understand our Members’ needs and to optimize this service and experience. Hotjar is a technology service that helps us better understand our Members’ experience (e.g., how much time they spend on which pages, which links they choose to click, what Members do and don’t like, etc.) and this enables us to build and maintain our service with Member feedback. Hotjar uses cookies and other technologies to collect data on our Members’ behavior and their devices. This includes a device’s IP address (processed during your session and stored in a de-identified form), device screen size, device type (unique device identifiers), browser information, geographic location (country only), and the preferred language used to display our website. Hotjar stores this information on Sempris’ behalf in a pseudonymized user profile. Hotjar is contractually forbidden to sell any of the data collected on Sempris’ behalf. For further details, please see the ‘about Hotjar’ section of Hotjar’s support site.

CHILDREN UNDER THE AGE OF 13

Sempris does not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow such persons to register. No one under age 13 is allowed to provide any personal information to Sempris. In the event we learn that we have collected personal information from a child under age 13 we will delete that information as quickly as possible. If you believe we might have any information from or about a child under 13, please contact us at privacy@sempris.com.

USE OF COOKIES

Sempris uses “cookies” to help create a better and, for our members, a more personalized experience. A cookie is a piece of data stored on the user’s computer, tied to information about the user. Cookies can only track information provided to the Site itself. This information may include your user name and password, to avoid your having to retype it every time you return to the Site. Your browser and other security applications can be set to prompt you when a Web site is setting a cookie or to reject all cookies. Unless you accept our cookies, you will not be able to use our Web site effectively, and many site sections and applications will not function properly or at all. Please note that Sempris allows third party advertisers that are presenting advertisements on some of our pages to set and access their cookies on your computer. Advertisers’ use of cookies is subject to their own privacy policies, not the Sempris Privacy Policy.

INTEREST BASED ADVERTISING

We may partner with third-party service providers to serve ads on our behalf on non-affiliated third party sites. Some of those ads may be personalized, meaning that they are intended to be relevant to you based on information we or the online advertising network serving the ad collect about your online activities here and elsewhere over time. For example, anonymous information collected across multiple sites that you visit over time may enable the ad network to predict your preferences and show you ads that are most likely to be of interest to you. Please note that we do not share any information that identifies you personally with the third party service providers who serve ads on our behalf. To opt out of these types of ads, please visit the Network Advertising Initiative for information about how to opt-out of interest-based advertising by their members.

See http://www.networkadvertising.org for general information about the NAI and http://optout.networkadvertising.org for the opt-out page. You may also visit http://www.aboutads.info/consumers/ to learn about online behavioral advertising and how to opt-out from online behavioral ads served by some or all participating companies.

SECURITY

Site user accounts are secured by passwords. Although no communications over the Internet are 100% secure, we work to protect the security of your information during transmission by using Secure Sockets Layer (SSL) software, which encrypts information you input. Please note, however, that we cannot guarantee the security of user account information. Unauthorized entry or use, hardware or software failure, and other factors may compromise the security of user information at any time. For any additional information about the security measures we use on the Sites, please contact us at privacy@sempris.com.

CONTROL OF YOUR PASSWORD

You are responsible for all actions taken with your login information and password. Therefore we do not recommend that you disclose your Sempris password or login information to any third parties. If you choose to share this information with third parties, you are responsible for all actions taken with your login information and password and therefore should review each third party’s privacy policy. If your password has been compromised for any reason, you should immediately change your password.

DECLINE TO RECEIVE INFORMATION

If you do not want to receive e-mail or other mail from us, please contact us at: privacy@sempris.com.

When linking to another Web site we encourage our users to read the privacy policy stated on each and every Web site. This Privacy Policy only governs information collected on our Sites.

THESE TERMS OF USE AND CONDITIONS OF SALE FORM A LEGALLY BINDING AGREEMENT (“AGREEMENT”) AND SHOULD BE READ CAREFULLY.

THIS AGREEMENT CONTAINS ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING OR JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES.

MEMBERSHIP TERMS AND CONDITIONS. These Terms and Conditions apply to the membership of the person whose name or membership number was used to log on to this site (“YOU,” “You,” “you”, or “your“). This membership (“Membership”) is an optional service provided, administered, or owned and operated by SEMPRIS, LLC, and/or its subsidiaries and affiliates. SEMPRIS, 13033 Ridgedale Drive, Suite 202, Minnetonka MN 55305 (collectively, “SEMPRIS,” “We,” “Us” or “Our”).

THE SERVICE. In exchange for payment by you of the current membership fee, you may obtain the Membership. The benefits of the Membership consist of discounts and savings opportunities as described in this membership website. SEMPRIS reserves the right to change the specific services included in the Membership and reserves the right to modify these terms and conditions without notice. SEMPRIS reserves the right to limit discounts. SEMPRIS reserves the right to change the content of the Membership website at any time. We reserve the right to cancel your Membership at any time for any reason.

GUARANTEED SAVINGS: The savings you get with us can’t be beat. In fact, We’re so confident in the savings you’ll get from Our Preferred Partners that We’ll guarantee you 100% of the difference if you should find a better offer online or anywhere else. Offer must be identical in every respect to, and deliver a greater dollar savings amount than, what is available on the members-only website. Proof of purchase, a copy of the competing advertisement and exact offer details (date, where offer found, etc.) are required to process savings guarantee request. Requests that do not meet the foregoing requirements will not be honored. This offer is non-transferable. Must be an active and fully paid-up member at time of redemption of competing offer to qualify. Don’t be fooled by look-alike offers found elsewhere that promise much more, but deliver far less. We make sure that our offers are better than what you can find anywhere else – our expiration dates are longer, our savings are higher and the overall value can’t be beat.

WHO MAY USE. Only you and members of your immediate family living in your household may use the Membership on your or their behalf. No corporate, company, or business Memberships are permitted. You agree to notify Us if you become aware of any unauthorized use of your Membership or if your membership number is lost. This website is not directed at children under the age of 13. SEMPRIS does not intend to gather any personal information from children under 13. Children under the age of 18 should get permission from a parent or guardian before sending any personal information to Us via e-mail or otherwise. However, if the parent or guardian of a child under 13 has provided Us with personally identifiable information, the parent or guardian of that child should call Us at 1-800-475-1942 if they want this information deleted from Our files.

TRIAL PERIOD, PERIODIC, RECURRING BILLING AND PAYMENT METHODS. If you purchased the Membership on a trial offer, you will receive all regular benefits of membership for the time period as indicated in your membership materials. Unless you notify Us that you wish to cancel before the end of the trial period, your credit or debit/check card will be charged the periodic, recurring fee for your Membership. Immediately upon receipt of cancellation, prior to any billing, your trial offer will terminate. Refer to next paragraph for payment and cancellation details for annual memberships. You may edit your payment method information by calling Customer Service at 1-800-475-1942. If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, and you do not edit your payment method information or cancel your Membership (See “Right to Cancel Membership” below), you remain responsible for any uncollected amounts and authorize Us to continue billing the payment method, as it may be updated. This may result in a change to your payment billing dates. We may update your payment method with information provided by the applicable payment service provider, and you authorize Us to continue to charge the membership fee to the updated payment method. For certain payment methods, the issuer of your payment method may charge you a foreign transaction fee or other charges. Check with your payment method service provider for details.

NO AUTOMATIC RENEWAL OF “ANNUAL ONLY” MEMBERSHIPS. If your Membership is billed once per year, We will not arrange for the automatic renewal of the Membership annually. If you wish to renew your annual Membership once it expires, please contact Customer Service at 1-800-475-1942.

RIGHT TO CANCEL MEMBERSHIP. You have the right to cancel the Membership at any time. To cancel, write to P.O. Box 5265, Hopkins, MN 55343-2265, Attn: Customer Service, or call 1-800-475-1942, or go to www.programstop.com. If you cancel the Membership, you will not be charged any additional fees.

SEMPRIS MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD OR INFORMATION DELIVERED OR PROVIDED TO YOU, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SEMPRIS SHALL, UNDER NO CIRCUMSTANCES, BE LIABLE FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. OUR LIABILITY TO YOU SHALL IN NO EVENT EXCEED THE AMOUNT OF THE MEMBERSHIP FEE CHARGED. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. NOTWITHSTANDING ANYTHING IN THESE TERMS TO THE CONTRARY, THIS LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTY DOES NOT APPLY IN NEW JERSEY.

ARBITRATION. This Agreement and any issue or dispute arising out of or otherwise related to this Agreement or with your use of Our website, the Privacy Policy, or any matter concerning SEMPRIS including use and purchase of Membership, collectively “Disputes,” shall be governed exclusively by the laws of the State of Minnesota, excluding its conflict of law provisions. You agree to contact Us with Disputes by writing to Us at SEMPRIS, 13033 Ridgedale Drive, Suite 202, Minnetonka MN 55305. SEMPRIS will contact you by letter to your billing address you provided Us.

If any Dispute cannot be resolved informally, we each agree that any and all Disputes, other than those either party may choose to file in small claims court, shall be submitted to final and binding arbitration before a single arbitrator under the auspices of JAMS® in a location convenient to you. Either party may commence the arbitration process by submitting a written demand for arbitration with JAMS®, and providing a copy to the other party. The arbitration will be conducted in accordance with the provisions of the JAMS® Consumer Arbitration Minimum Standards in effect at the time of submission of the demand for arbitration (available at https://www.jamsadr.com/consumer-minimum-standards/), which are incorporated by reference herein. We will pay all of the filing costs, including arbitrator fees. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, the following shall not be subject to arbitration and may be adjudicated only in the state and federal courts of Minnesota: (i) any dispute, controversy, or claim relating to or contesting the validity of our proprietary rights, including without limitation, trademarks, service marks, copyrights, or trade secrets; or (ii) an action by a party for temporary, preliminary, or permanent injunctive relief, whether prohibitive or mandatory, or other provisional relief. You expressly agree to refrain from bringing or joining any claims in any representative or class-wide capacity, including but not limited to bringing or joining any claims in any class action or any class-wide arbitration.

YOU UNDERSTAND THAT YOU WOULD HAVE HAD A RIGHT TO LITIGATE THROUGH A COURT, TO HAVE A JUDGE OR JURY DECIDE YOUR CASE AND TO BE PARTY TO A CLASS OR REPRESENTATIVE ACTION. HOWEVER, YOU UNDERSTAND AND CHOOSE TO HAVE ANY CLAIMS DECIDED INDIVIDUALLY AND ONLY THROUGH ARBITRATION.
